Conditions commerciales
Definitions
The following terms have the following meanings in these Terms of business:
**Terms and conditions**: These Terms of business.
**C SAIL / Xinhai**: Hubei Xinhai Industrial Intelligent Equipment Co., Ltd. or another associated company named in the order confirmation.
**Customer**: The party to whom C SAIL supplies goods or services.
1. Scope of application
These terms apply to agreements between C SAIL and its customers for the sale of equipment, spare parts and accessories, and for services and ancillary services. If individual contractual provisions conflict with these terms, the written individual agreement prevails; the remaining provisions of these terms remain in force.
Product introductions, images and descriptions on this website are for general information only and do not constitute a binding offer.
2. Offers, delivery, delay
Offers issued by C SAIL are generally non-binding unless expressly confirmed in writing as a firm offer. Orders are only deemed accepted when confirmed in writing by C SAIL after the parties have reached consensus on the points to be agreed.
Unless agreed otherwise in an individual case, C SAIL is not obliged to verify the accuracy of the customer’s requirements or specifications. Information on weight and dimensions is approximate unless confirmed in writing.
Partial deliveries are permitted insofar as they do not unreasonably impede the customer’s ongoing business. Dispatch and delivery dates are binding only if expressly confirmed as binding in the order confirmation; if delay results from missing documents or unpaid advance payments on the customer’s side, the period may be extended accordingly.
3. Prices and conditions
Prices are as stated in the order confirmation or valid quotation unless agreed otherwise. Taxes, insurance, installation, commissioning and similar costs, if not included, shall be agreed separately.
Unless agreed otherwise, invoice amounts are payable within the agreed payment term. The legal consequences of late payment follow applicable law; C SAIL reserves the right to claim damages caused by delay.
4. Retention of title and intellectual property
C SAIL may retain title to delivered goods until the customer has paid claims arising from contracts concluded to date in full. C SAIL and related trademarks or names appearing on the goods are not assigned to the customer by these terms; nor do these terms transfer or license patents or other industrial property rights unless agreed in writing.
5. Quality, acceptance and liability
Goods shall conform to the agreed specifications and to reasonable quality requirements reflecting the current state of the art. Deviations within industry or contractually permitted tolerances do not constitute a breach.
Equipment selection, lead times, acceptance and after-sales service are governed by the signed contract, technical agreement and valid quotation for the year. Website contents may not be used for misleading promotion or commercial republication without written consent.
6. Final provisions
These terms replace conflicting provisions of earlier general terms and conditions. Amendments or side agreements are valid only if confirmed in writing by C SAIL. C SAIL expressly objects to the customer’s general terms and conditions unless otherwise agreed in writing.
Until agreed otherwise, these terms apply to current and future business transactions, even if not specifically referenced again in an ongoing business relationship.
